Terms & Conditions

The legal agreement between you and NG&NR Technologies Private Limited governing your use of the Revend Customer App, Partner App, and revend.in website. Please read carefully.

Effective Date: April 23, 2026

1. Introduction and Acceptance

These Terms & Conditions (“Terms”) are a legally binding electronic agreement between you (“User”, “you”) and NG&NR Technologies Private Limited (“Revend”, “we”, “us”), a company incorporated under the Companies Act, 2013 with its registered office in Bengaluru, Karnataka, India.

These Terms govern your access to and use of the Revend Customer App, Partner App (for Service Providers and Merchants), revend.in website, and any related services (collectively, the “Platform”).

By creating an account, signing in, or using any part of the Platform, you confirm that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Platform.

These Terms constitute an “electronic record” under the Information Technology Act, 2000 and do not require any physical or digital signature.

2. Definitions

  • Customer: an individual who uses the Revend Customer App to browse posts, contact Merchants/SPs, and transact.
  • Service Provider (SP): a verified individual or micro-business offering services (plumbing, electrical, tutoring, etc.) through the Partner App.
  • Merchant: a verified business selling goods or services through the Partner App with a GST-registered identity.
  • Partner: collective term for SPs and Merchants.
  • Platform: the Revend Customer App, Partner App, revend.in website, and all associated backend services.
  • KYC: “Know Your Customer” identity and business verification performed via licensed partners such as Surepass.
  • Escrow: the Revend-administered holding of Customer funds with a licensed payment partner until a transaction is completed, refunded, or released.
  • Reva: Revend’s in-app AI assistant that helps Customers find posts, answer product questions, and navigate the Platform.
  • User: any Customer, SP, or Merchant using the Platform.
  • Content: text, images, audio, video, ratings, reviews, listings, or any other material a User submits to the Platform.

3. Eligibility

  • You must be at least 18 years old and legally competent to enter into a contract under the Indian Contract Act, 1872.
  • You must be a resident of India with a valid Indian mobile number.
  • Partners must have valid KYC documents (Aadhaar, PAN, and for Merchants a valid GSTIN).
  • You must not be barred by any Indian law, court order, or prior Revend suspension from using the Platform.

4. Account Registration & Authentication

4.1 Customer App

  • Registration requires an Indian mobile number verified via one-time password (OTP).
  • You agree to provide accurate information and keep your profile updated.
  • You are responsible for every action taken under your account.

4.2 Partner App

  • Registration requires mobile OTP plus KYC (Aadhaar-backed identity, PAN, and, for Merchants, GSTIN and bank details).
  • Partners must accurately represent their identity, category, service area, and pricing.
  • A single person may operate only one SP account; a single legal entity may operate only one Merchant account, unless expressly authorised by Revend.

4.3 Security

  • You are responsible for safeguarding your credentials and device.
  • Notify legal@revend.in immediately if you suspect unauthorised access.
  • Revend will never ask for your password, Aadhaar OTP, UPI PIN, or full card details over phone, email, or chat.

5. Platform Services

5.1 Customer

As a Customer you can browse posts, favourite Merchants and SPs, chat, call (with recording notice), request quotes, place orders via escrow, rate and review, and use the Reva AI assistant.

5.2 Service Provider

As an SP you can publish your profile, respond to leads, send quotes, complete jobs, receive escrow payouts after completion, and build a rating history on the Platform.

5.3 Merchant

As a Merchant you can list products, manage stock and pricing, receive orders, fulfill them, receive escrow settlement after delivery confirmation, and respond to disputes.

Revend is an intermediary under the Information Technology Act, 2000. We facilitate transactions between Customers and Partners but do not sell goods or provide services ourselves.

6. Revend Trust & KYC Verification

Every Partner undergoes identity verification before they can transact on the Platform. Verification is performed via Surepass (and similar licensed providers) using Aadhaar offline XML, PAN, and for Merchants, GSTIN.

  • Auto-approve: KYC records that pass all automated checks (name match, active GSTIN, address match, risk score below threshold) are approved automatically within minutes.
  • Manual review: KYCs with mismatched names, flagged GSTINs, blacklist hits, or risk-score exceptions are routed to Revend’s Trust & Safety team for human review, typically within 48 business hours.
  • Re-verification: Revend may re-run KYC at any time if fraud signals, disputes, or regulatory changes require it.
  • Revocation: We may suspend or terminate a Partner whose KYC is later found invalid, forged, or obtained fraudulently.

7. Payments, Escrow & Refunds

Revend operates a managed-escrow model to protect both Customers and Partners. Funds are held with a PCI-DSS compliant Indian payment aggregator and moved between the following states:

  • Applicable platform fees, GST, and payment-gateway charges are disclosed before payment.
  • Refund timelines follow RBI guidelines and the payment aggregator’s settlement cycle (typically 5–7 business days).
  • Revend does not hold your funds on its own balance sheet; escrow is administered by a licensed payment partner.

8. In-App Communication

  • Voice and video calls are powered by LiveKit WebRTC.
  • No phone number is ever exposed. All calls are routed through Revend-managed rooms.
  • Calls may be recorded for trust, safety, and dispute-resolution purposes. Both parties see a clear “Call is being recorded” notice before the call begins.
  • Recordings are retained for 90 days (see the Privacy Policy for details).
  • Attempting to circumvent in-app communication (e.g., pushing users off-Platform, exchanging personal numbers or external links) is a violation of these Terms.

9. Content Policy & AI Moderation

All Content uploaded to the Platform (text, images, chats, reviews) is subject to automated and human moderation:

  • toxic-bert screens text for hate speech, harassment, threats, and abusive language.
  • Falconsai NSFW screens images for nudity, sexual content, and graphic violence.
  • Flagged content may be auto-removed, shadow-limited, or routed to human review.

Consequences of policy violations may include:

  • Content removal
  • Temporary feature restrictions (posting, chatting, calling)
  • Escrow holds pending investigation
  • Account suspension or permanent termination
  • Referral to law enforcement where required by law

10. Prohibited Conduct

You must not, and must not help others:

  1. Upload, list, or sell items or services that are unlawful in India (narcotics, weapons, counterfeit goods, wildlife, etc.).
  2. Impersonate another person, misrepresent your identity, or use forged KYC documents.
  3. Post sexual, hateful, harassing, discriminatory, violent, or defamatory content.
  4. Circumvent in-app communication, escrow, or payment flows to transact off-Platform.
  5. Scrape, crawl, reverse-engineer, or automate access to the Platform without written permission.
  6. Manipulate ratings, reviews, or search ranking through fake accounts or coordinated activity.
  7. Introduce malware, phishing links, or attempt to gain unauthorised access to Revend systems or other users’ accounts.
  8. Solicit payment outside escrow, demand bank/UPI details outside the Platform, or run advance-fee scams.
  9. Share another person’s personal data (mobile number, Aadhaar, financial details) without their consent.
  10. Violate any applicable Indian law, including the Consumer Protection Act, 2019, GST Act, 2017, and the Information Technology Act, 2000.

11. Ratings & Reviews

  • Only Users who have completed a real transaction may rate the counterparty.
  • Reviews must be honest, specific, and free of personal attacks or unverifiable accusations.
  • Revend may remove reviews that violate the Content Policy, are posted by fake accounts, or are part of coordinated manipulation.
  • Partners may respond to reviews publicly but must not retaliate, threaten, or offer incentives to remove reviews.

12. Intellectual Property

  • The Revend name, logo, Reva AI assistant, and all Platform software, designs, and documentation are the exclusive property of NG&NR Technologies Private Limited.
  • You retain ownership of Content you upload, but grant Revend a non-exclusive, royalty-free, worldwide licence to host, display, distribute, and moderate that Content for the purpose of operating the Platform.
  • You must not copy, reproduce, or create derivative works from the Platform’s source code, UI, branding, or data without written permission.
  • Copyright complaints may be sent to legal@revend.in with the details required under Indian copyright law.

13. Disclaimers & Limitation of Liability

The Platform is provided on an “as is” and “as available” basis. To the maximum extent permitted under Indian law:

  • Revend makes no warranty as to the quality, safety, legality, or accuracy of goods or services offered by Partners.
  • Revend is an intermediary and is not a party to the underlying contract between Customer and Partner.
  • Revend’s aggregate liability to any User for any cause of action shall not exceed the higher of (a) the total platform fees you paid to Revend in the 3 months preceding the claim, or (b) INR 5,000.
  • Revend is not liable for indirect, incidental, consequential, exemplary, or punitive damages, including lost profits, goodwill, or data.
  • Nothing in these Terms limits liability for fraud, wilful misconduct, or any liability that cannot be limited under Indian law.

14. Indemnification

You agree to indemnify and hold harmless NG&NR Technologies Private Limited, its directors, officers, employees, and affiliates from any claim, demand, loss, or expense (including reasonable legal fees) arising out of: (a) your breach of these Terms or our policies; (b) your Content; (c) your infringement of any third-party right; or (d) your violation of any Indian law.

15. Termination

  • You may stop using the Platform and request account deletion at any time from in-app Settings.
  • Revend may suspend or terminate your account, with or without notice, for violation of these Terms, fraudulent conduct, risk to other Users, or as required by law.
  • On termination, your right to access the Platform ends immediately, but clauses that by their nature survive (IP, liability, indemnification, dispute resolution) continue to apply.
  • Regulatory data (KYC, transaction records) will be retained for the statutory period even after account deletion.

16. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India.

  • Step 1 — Grievance: raise your complaint with our Grievance Officer (legal@revend.in). We will acknowledge within 48 hours and respond within 30 days.
  • Step 2 — Arbitration: any dispute not resolved at Step 1 shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996, before a sole arbitrator appointed by Revend. The seat and venue of arbitration shall be Bengaluru, Karnataka. Proceedings shall be conducted in English.
  • Step 3 — Courts: subject to the arbitration clause above, the courts at Bengaluru, Karnataka shall have exclusive jurisdiction.

17. Changes to Terms

We may update these Terms to reflect changes in law, technology, or our services. The “Effective Date” at the top of this page will be updated. Material changes will be notified in-app and by email at least 7 days before they take effect. Your continued use of the Platform after the effective date constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Platform.
